BADGE USAGE AGREEMENT

Premier Property Badge Usage Agreement

This Badge Usage Agreement (“Agreement”) governs how property owners, managers, and authorized users (“Badge Holders”) may display and use the Premier Property Badge (“Badge”) issued by Premier Guest Assessments LLC (“Company”).

By displaying, embedding, downloading, or distributing a Badge, the Badge Holder agrees to the terms below.

1. License to Use the Badge

The Company grants Badge Holders a non-exclusive, non-transferable, revocable license to display the Badge solely for the property that earned it.

The license is limited to:

• The specific property
• The specific year or version of the Badge issued
• Approved platforms (property website, booking listings, social media, printed materials)

2. Prohibited Uses

Badge Holders may not:

• Alter, modify, recolor, crop, distort, or recreate the Badge
• Use the Badge on a property that has not earned it
• Display the Badge after it expires or is revoked
• Imply government approval or regulatory certification
• Suggest partnerships, endorsements, or guarantees not explicitly provided
• Transfer or apply one property’s Badge to another property
• Claim that the Badge guarantees safety, cleanliness, or compliance

Unauthorized use may result in Badge removal, account suspension, or legal action.

3. Expiration & Revocation

Badges are valid for one year from the date of issuance unless otherwise noted.

The Company may revoke or suspend Badge status if:

• The property fails a reinspection
• Significant issues arise
• Information was misrepresented
• The Badge was misused
• The property changes ownership without transfer approval

Revoked Badges must be removed from all digital and physical materials immediately.

4. Ownership

The Badge design, inspection system, scoring model, and related intellectual property remain the exclusive property of Premier Guest Assessments LLC.

Badge Holders do not acquire ownership rights.

5. Representation & Limitations

The Badge indicates that the property met the Company’s internal standards at the time of assessment only.

It is not:

• A warranty
• A safety certification
• A legal compliance certificate
• A guarantee of future condition

6. Violations

Misuse of the Badge may result in:

• Suspension of property listings
• Legal action
• Revocation of all current and future Badges
• Termination of Company services
